Terms of Use

1. Use of Services

Alphamind AI provides AI-driven financial analytics, quantitative models, signals, and research tools. Depending on your location and subscription tier, the Services may also include optional connectivity to a brokerage or exchange account you own, transmission of orders you initiate, copy trading, prediction markets settled in MindX Coin, and a partner programme. Section 2 sets out where these features are and are not available.

You agree that you will:

• Use the Services only for lawful purposes and only for your own account, and not to provide investment services to any other person;
• Not scrape, extract, mine, reverse engineer, or redistribute any portion of the platform or its output;
• Maintain the confidentiality of your login credentials;
• Not attempt to circumvent security measures, exceed authorized access, or disrupt system operations.

No part of the Services constitutes investment, financial, legal, or tax advice. You remain solely responsible for your trading and investment decisions.

2. Eligibility & Restricted Jurisdictions

You must be at least 18 years old to register for and use the Services.

Not every feature is offered everywhere. For the purposes of these Terms, "Restricted Jurisdictions" means China (including mainland China, the Hong Kong SAR, and the Macau SAR), the United States of America, and Canada.

If you are a resident or citizen of, or are located in, a Restricted Jurisdiction, you may use only the AI analysis and research features of the Services, such as market analysis, AI-generated commentary, charts, indicators, signals, watchlists, and comparable informational tools.

The following are not offered to you, and you may not use them:

• Broker and exchange connectivity, including linking any brokerage or exchange account to the Services and transmitting any order through the Services;
• Copy trading, and any other form of trade mirroring or account-linked execution;
• The partner, referral, and introducing-broker programme, together with any reward, commission, rebate, or subscription benefit obtained through it, including complimentary Exclusive access.

We do not market, promote, or solicit these features in Restricted Jurisdictions.

By using any of these features you represent that you are not a resident or citizen of, and are not located in, a Restricted Jurisdiction. Using a VPN, proxy, false residency information, or any other means to conceal your location is a material breach of these Terms. We may suspend or terminate your account and disconnect any linked account, without refund.

You are responsible for ensuring that your use of the Services complies with the laws that apply to you. We may add jurisdictions to or remove them from this list at any time, and may restrict or withdraw any feature in any jurisdiction where we believe it cannot lawfully be offered.

3. Broker & Exchange Connectivity

Where this feature is available to you (see Section 2), you may connect a brokerage or cryptocurrency exchange account that you own to the Services and transmit orders through the Services to that account.

Our role.

Alphamind AI is a technology provider. We are not a broker, dealer, exchange, custodian, or money transmitter. We do not hold, receive, or control your funds or assets; we do not execute or match orders; and we do not set prices. Your trading account remains with your broker or exchange and is governed by your agreement with them, to which we are not a party.

Your orders are your own.

Every order transmitted through the Services is initiated and authorised by you. You are responsible for reviewing the instrument, direction, size, leverage, and any stop or limit levels before you confirm an order.

Credentials and permissions.

Connecting an account requires API keys, tokens, or other credentials issued by your broker or exchange. You should grant only the narrowest permissions the feature requires and should not enable withdrawal or transfer permissions. Keep these credentials confidential. You may revoke them at any time through your broker or exchange, or by disconnecting the account in the Services.

Execution risk.

Once an order leaves the Services it is handled entirely by your broker or exchange. We do not control, and are not responsible for, execution, fill price, slippage, partial fills, rejections, margin calls, forced liquidation, funding or financing costs, spreads, commissions, or the availability of any instrument. An order may fail to reach your broker, or fail to be executed, because of network faults, API rate limits, maintenance windows, outages, expired or revoked credentials, or changes made by your broker or exchange.

No guarantee of continuity.

Connectivity may be interrupted, suspended, or withdrawn at any time. You should not rely on the Services as your only means of monitoring or closing a position, and you should retain the ability to access your broker or exchange directly.

4. Copy Trading

Where this feature is available to you (see Section 2), copy trading mirrors the trades of a strategy we publish to a trading account that you own. To enable it, you submit your own account details and choose a position-sizing method, and you authorise us to open, modify, and close positions on that account in line with the strategy until copying stops.

You acknowledge and accept that:

• Copy trading executes automatically. You do not review or confirm individual trades before they are placed;
• Past performance of any strategy does not indicate future results, and your results will differ from the published strategy because of your broker, spreads, commissions, swap and financing costs, execution latency, slippage, account equity, and the sizing method you choose;
• You may lose money, and your losses may exceed the performance shown for the strategy;
• Eligibility is tied to your subscription. When the subscription ends, copying stops and no new positions are opened;
• When copying stops for any reason, positions already open on your account are not closed automatically, and managing or closing them is your responsibility;
• You may stop copying at any time, and you can always trade or close positions directly with your broker;
• We may pause, modify, or withdraw any strategy, and may end copy trading on any account.

Copy trading requires a trading password rather than a read-only password, because orders must be placed on your account. Keep it confidential, and change it with your broker once you stop copying.

5. MindX Coin & Prediction Markets

MindX Coin.

MindX Coin is a virtual point issued by Alphamind AI for redeeming benefits and digital goods inside the platform. It is not a cryptocurrency, security, e-money, or any other financial asset. It cannot be purchased with money, and it cannot be withdrawn, transferred, exchanged for cash, or traded. It has no monetary value outside the platform.

We may issue, adjust, expire, or withdraw Coin, and may change how it is earned and redeemed, to the extent permitted by law. Coin carries no value on account closure and is forfeited if an account is terminated for breach of these Terms.

Prediction markets.

The prediction feature lets you stake Coin on the direction of a market over a defined period. Because Coin cannot be bought and has no cash value, no money is at stake and this is a platform feature rather than any form of wagering.

• A market closes to new stakes at the start of the period shown, verified server-side;
• Odds are set by an automated market maker and move as stakes are placed. The odds shown at the moment you stake are the odds applied to that stake;
• Settlement uses the reference price and price source displayed on the market. If the outcome is flat, or the reference price cannot be established, the market is voided and all stakes are returned in full;
• We may void a market, reverse a settlement, or withhold a payout where there is a pricing error, a data-source failure, a technical fault, or evidence of manipulation, duplicate accounts, or automated abuse;
• Decisions on settlement and voiding are made by us and are final.

6. Partner & Referral Programme

Where these programmes are available to you (see Section 2), you may earn Coin, subscription benefits, or other rewards when people you introduce complete qualifying actions.

• Eligibility, qualifying actions, reward amounts, attribution windows, and payment timing are those shown on the programme pages, and we may change them at any time;
• Rewards are earned only for genuine introductions of new users. Self-referral, duplicate or fabricated accounts, purchased traffic, unsolicited messaging, bidding on our brand terms, and any other attempt to manufacture qualifying actions are prohibited;
• We may withhold, reverse, or cancel rewards and remove you from a programme where we reasonably believe these rules have been breached, or where an introduced user obtains a refund, raises a chargeback, or is itself in breach of these Terms;
• You are responsible for any tax arising on rewards you receive;
• You must not present yourself as an employee, agent, or representative of Alphamind AI, and you must not make performance claims, guarantees, or promises of profit on our behalf.

7. Intellectual Property

All content—including algorithms, AI models, indicators, strategies, signals, dashboards, user interface elements, research commentary, and data visualizations—is the exclusive property of Alphamind AI and/or its partners.

You receive a revocable, non-exclusive, non-transferable license to use the Services strictly for your own internal research.

You may not:

• Copy, reproduce, sell, sublicense, publish, or commercially exploit any content;
• Use Alphamind AI outputs to create competing products or derivative datasets.

Violations may result in account suspension or legal action.

8. Subscriptions, Payments & Billing

Alphamind AI offers free and paid subscription tiers. The features, duration, price, and payment method of each plan are displayed before you place your order.

By purchasing a paid subscription, you understand and agree to the following.

Payment channels.

We accept payment by card through Stripe, by WeChat Pay, and by USDT on the TRC20 network.

• Stripe: payment is processed by Stripe as a third-party payment service provider. Alphamind AI does not store full bank card details.
• WeChat Pay: payment is completed by scanning a QR code. You are not asked to enter a card number on the platform.
• USDT (TRC20): you transfer the exact amount displayed to the address displayed, within the payment window shown on the order. Send only USDT on the TRC20 network. On-chain transfers are irreversible and cannot be recalled by us. A transfer sent on another network, for a different amount, to another address, or after the order has expired may not be creditable and cannot be returned.

Renewal.

• Stripe subscriptions renew automatically each billing period (for example monthly or annually) unless you cancel before the next charge date in your account settings. After cancellation you generally retain access until the end of the current billing period, as shown at checkout.
• WeChat Pay and USDT subscriptions are prepaid and do not auto-renew. You choose the subscription length and pay once. To continue after expiry you must purchase again, and the days you buy are added to your remaining balance.

Upgrades: where remaining days on a prepaid plan can be converted towards a higher tier, they convert only when you upgrade through the same payment channel you originally used.

Taxes: no tax is charged on subscription fees.

Refunds: except where mandatory law requires otherwise, all fees are non-refundable, and no refund, credit, or offset of any kind is provided. This includes unused time, partial use, downgrades, plan changes, and dissatisfaction with the Services. It applies to every payment channel, and USDT payments in particular cannot be reversed once sent.

Where you hold a statutory right of withdrawal as a consumer, you expressly request that we begin providing the Services immediately upon purchase, and you acknowledge that you lose that right once access has been provided.

If you believe you have been charged in error, contact us at support@alphamind-ai.com. Raising a chargeback or payment dispute with your card issuer or payment provider without first contacting us may result in suspension or termination of your account.

Managing and cancelling: you can view and manage your subscription in your account settings. Renewal settings apply to Stripe subscriptions; a prepaid subscription simply ends on expiry, with no further charge.

We may change pricing or plan features from time to time. If changes affect your subscription, we will provide notice in advance where required. Promotional pricing applies only for the period stated, after which the standard price applies.

9. Risk Disclaimer

Financial markets involve substantial risk.

The models, insights, and signals provided by Alphamind AI are algorithmically generated and rely on historical data, market assumptions, and probabilistic forecasts.

Therefore:

• Past performance does not guarantee future results;
• AI-generated insights may contain inaccuracies or delays;
• You bear full responsibility for your investment decisions.

Alphamind AI does not act as a registered investment advisor, portfolio manager, or fiduciary. We strongly encourage consultation with licensed financial professionals before acting on any information from the platform.

10. No Advisory Relationship

Your use of Alphamind AI does not create an advisory, fiduciary, broker-client, or investment-management relationship.

Alphamind AI is not registered as an investment advisor, exempt market dealer, portfolio manager, or broker-dealer in any jurisdiction.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available."

We make no warranties, express or implied, regarding:

• Accuracy, completeness, or timeliness of information;
• Uninterrupted or error-free operation;
• Market suitability, reliability, or performance of any insights or strategies.

Use of the platform is at your own risk.

12. Limitation of Liability

To the fullest extent permissible by law, Alphamind AI shall not be liable for:

• Trading losses, opportunity costs, or portfolio underperformance;
• Service interruptions, data lags, errors, or system failures;
• Orders that are not transmitted, not executed, executed late, or executed at a price other than the one you expected;
• Consequences of unauthorized access due to user negligence;
• Actions or omissions by brokers, exchanges, third-party data providers, or integration partners.

Your sole remedy for dissatisfaction with the Services is to discontinue use.

13. Privacy & Data Handling

User information is collected and managed in accordance with our Privacy Policy, incorporated by reference.

We do not sell personal data.

By using the Services, you consent to:

• Collection of technical data for optimization and analytics;
• Processing of information necessary to operate and improve the platform.

14. Communication & Emails

By registering, you consent to receiving:

• Platform updates
• Product notices
• Marketing communications (you may unsubscribe anytime)

Service-critical emails cannot be opted out of.

15. Registered User Responsibilities

You agree to provide accurate and current information during registration. We reserve the right to suspend or terminate accounts that violate policies or provide misleading information.

You may not upload or provide content that:

• Infringes intellectual property;
• Violates privacy or publicity rights;
• Contains malicious or harmful code.

Alphamind AI may remove user-submitted content that breaches these Terms.

16. Suspension & Termination

You may stop using the Services and close your account at any time.

We may suspend or terminate your access, in whole or in part, where you breach these Terms, where we are required to do so by law, where we reasonably suspect fraud, abuse, or unauthorised access, or where you use a feature that is not offered in your jurisdiction.

On termination:

• Your subscription ends and no refund is due;
• Any Coin balance is forfeited;
• Broker and exchange connections and copy trading are disconnected. Positions open on your own accounts remain yours to manage;
• Provisions that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and the refund position, continue to apply.

17. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Services or via email. Continued use after the effective date means you accept the updated Terms.

18. General

Severability.

If any provision of these Terms is held to be invalid or unenforceable, that provision is severed to the minimum extent necessary and the remaining provisions continue in full force.

Force majeure.

We are not liable for any failure or delay in performing our obligations that results from events beyond our reasonable control, including natural disasters, war, strikes, network or power outages, failures of third-party providers, and governmental or regulatory action.

Notices.

We give you notice through the Services or by email to the address registered on your account, and notice is treated as delivered when sent. Keeping that address current is your responsibility.

Assignment.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or business reorganisation.

Entire agreement.

These Terms, together with the Privacy Policy, form the entire agreement between you and us regarding the Services, and supersede all prior oral or written communications, representations, and promises. Nothing said by any partner, affiliate, community member, or other third party varies these Terms or creates any obligation on us.
